1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the website located at witham.tech (the “Site”) operated by Witham Tech (“we,” “us,” or “our”). By using the Site or contacting us through it, you agree to these Terms.
2. Eligibility
The Site is intended for adults. If you use the Site on behalf of a household, organization, or another person, you represent that you have authority to bind them to these Terms.
3. No legal advice; no guarantee of outcomes
Content on the Site is for general information. It is not legal advice. Security outcomes depend on many factors; we do not guarantee that any configuration, tool, or process will prevent all incidents, losses, or harm.
4. Acceptable use
You will not use the Site or our services to violate law, infringe rights, distribute malware, attempt unauthorized access, harass anyone, or request help with wrongdoing. You represent you have lawful authority over devices, accounts, and data you ask us to access or configure.
5. Services; SOW controls paid work
We offer managed workstation security and related support, typically on a retainer basis, as described on the Site at a high level. If you become a client, the SOW (and any master services agreement) controls scope, fees, deliverables, hours, renewals, escalation, and other commercial terms. If there is a conflict between the Site and a signed SOW, the SOW prevails.
6. Required tooling (Bitdefender, AnyDesk)
Unless otherwise stated in your SOW, our standard stack for covered workstations may include installation and configuration of Bitdefender (endpoint protection) and AnyDesk (remote support). Licensing, subscription fees, ownership of licenses, uninstall or transition on termination, and any client-specific restrictions are defined in the SOW or invoice.
7. Your responsibilities
You agree to cooperate in good faith: provide accurate information, maintain backups where appropriate, keep credentials secure, allow reasonable maintenance windows, and promptly report suspected incidents. You are responsible for your data, third-party vendors, and compliance obligations that apply to you.
8. Remote access
Remote support may use approved tools such as AnyDesk as described in your SOW. Sessions are initiated and conducted consistent with your agreement and reasonable security practices. You may revoke or limit remote access as set forth in the SOW.
9. Fees, billing, taxes
Fees, payment methods, renewals (including auto-renewing subscriptions where offered), refunds, and taxes are as stated in your SOW, order form, or invoice. If we use a payment processor (for example Stripe), their terms and privacy policy may also apply to payment transactions.
10. Confidentiality
We treat non-public business and technical information you share for engagements as confidential, subject to your SOW and applicable law. We are not required to treat unlawful instructions or requests as confidential.
11. Data security
We use reasonable safeguards appropriate to the services, but no method of transmission or storage is 100% secure.
12. Third-party services
The Site and our operations may rely on third parties (for example hosting, scheduling, email, payments, and security-tool vendors). Their terms and privacy policies may apply. See our Privacy Policy for a high-level overview.
13. Disclaimer of warranties
To the maximum extent permitted by law, the Site and any information on it are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Site or these Terms (excluding amounts owed for services actually purchased and not refunded as stated in the SOW) will not exceed the greater of USD $100 or the amounts you paid us for the services giving rise to the claim in the three (3) months before the event. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed.
15. Indemnity
To the maximum extent permitted by law, you will defend and indemnify us against third-party claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.
16. Suspension and termination
We may suspend or terminate access to the Site or decline engagements if we reasonably believe there is risk, abuse, non-payment, or legal requirement. Client engagements may be terminated as set forth in the SOW.
17. Changes to these terms
We may update these Terms by posting a revised version on the Site and updating the “Last updated” date. Continued use of the Site after changes become effective constitutes acceptance unless applicable law requires otherwise.
18. Governing law; venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Site shall be the state and federal courts located in DuPage County, Illinois, and you consent to personal jurisdiction there.
